Terms of Service

1. Acceptance of Terms
By accessing or using the Strut platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.
If you do not agree with any part of these Terms, you must not access or use the Service. Your continued use of the Service constitutes acceptance of any updates to these Terms.
2. Description of Service
Strut is a cloud-based software-as-a-service (SaaS) platform that provides auto repair shops with tools for:
- Professional invoice creation, management, and delivery
- Workshop job tracking and scheduling
- Customer relationship management and history tracking
- Payment tracking and financial reporting
- Parts and inventory reference
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable.
3. Account Responsibilities
When you create a Strut account, you agree to:
- Provide accurate, current, and complete information during registration and keep it updated.
- Maintain the security and confidentiality of your login credentials and not share them with unauthorised parties.
- Accept responsibility for all activity that occurs under your account.
- Notify us immediately at support@struthq.ca if you suspect any unauthorised use of your account.
4. Acceptable Use
You agree to use the Service only for lawful, legitimate business purposes. You must not:
- Use the Service to engage in any illegal, fraudulent, or deceptive activity.
- Attempt to gain unauthorised access to any part of the Service, other users' accounts, or our systems.
- Transmit viruses, malware, or any code of a destructive nature.
- Reverse-engineer, decompile, or disassemble any portion of the Service.
- Use automated tools (bots, scrapers) to access the Service without our written consent.
- Resell, sublicense, or redistribute the Service to third parties without authorisation.
We reserve the right to suspend or terminate your access if you violate these usage rules.
5. Intellectual Property
The Service, including all software, designs, text, graphics, logos, and trademarks, is owned by Strut and protected by Canadian and international intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes during the term of your subscription.
6. User Data & Content
You retain full ownership of all data you input into the Service, including invoices, customer records, job details, and financial information (“User Data”).
By using the Service, you grant Strut a limited, worldwide, non-exclusive licence to process, store, and transmit your User Data solely for the purpose of providing and improving the Service. We will not access or use your User Data for any other purpose without your explicit consent.
You are responsible for the accuracy and legality of your User Data. We recommend maintaining independent backups of critical business records.
7. Payment Terms
Strut operates on a subscription billing model. By subscribing, you agree to the following:
- Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan.
- All fees are quoted in Canadian dollars (CAD) unless otherwise specified.
- Your subscription will automatically renew at the end of each billing cycle unless you cancel beforehand.
- Refunds may be issued at our discretion for annual plans within the first 14 days of a billing cycle. Monthly subscriptions are non-refundable once billed.
- We reserve the right to adjust pricing with at least 30 days' written notice before your next billing cycle.
8. Service Availability
We strive to maintain high availability of the Service and target 99.9% uptime. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice where possible)
- Emergency maintenance to address security vulnerabilities or critical bugs
- Events beyond our reasonable control, including internet outages and force majeure
We are not liable for any loss or damage arising from Service downtime.
9. Limitation of Liability
To the maximum extent permitted by law, Strut and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from or related to your use of the Service.
Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to Strut in the twelve (12) months preceding the event giving rise to the claim.
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Termination
Either party may terminate the use of the Service as follows:
- By you: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.
- By us:We may suspend or terminate your account immediately if you violate these Terms, or with 30 days' notice for any other reason.
Upon termination, you will have 30 days to export your User Data. After this period, we may permanently delete your data in accordance with our Privacy Policy.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada.
12. Changes to Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or a prominent notice within the Service before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Service and may request account termination.
